B2B License Terms
1. Scope of Application
The Engineering IP offering is intended for business and commercial customers. Product pages and inquiries are non-binding and do not grant any right of use.
2. Subject Matter of the License
The subject matter of a license is the Engineering Asset identified in the respective quotation or agreement, including its IP ID and documented technical reference status.
3. License Levels
The available license levels are Engineering Reference License, Single Manufacturing License, Commercial Manufacturing License and Individual Licensing Agreement.
4. Scope of Rights
Rights to use, manufacture, modify, disclose, sublicense or exploit an asset, as well as any exclusivity, territory, term or quantity limitations, apply only to the extent expressly agreed.
5. Technical Deliverables
The deliverables comprise only the documents and data identified in the quotation or license agreement. Native CAD data, manufacturing documentation, calculations or other supplementary documents are included only where expressly agreed.
6. License Fee
The license fee is agreed on an asset- or project-specific basis. Assets displayed in the shop do not have a standard online fixed price.
7. Custom Engineering
Modifications, recalculations, detailed design, interface planning, validation and other further development are separate engineering services unless expressly included in the agreed deliverables.
8. Ownership of Intellectual Property
Granting a right of use does not transfer ownership of the underlying intellectual property unless expressly agreed otherwise.
9. Disputes and Applicable Law
All disputes arising in connection with or out of the license agreement shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce (ICC) by one or more arbitrators appointed in accordance with those Rules.
The license agreement shall be governed by the substantive law of the licensor's country.
